These Terms & Conditions (“Agreement”) govern participation in the Valor Claims Solutions Preferred Network (“Network”). By applying to, being accepted into, or continuing participation in the Network, you (“Member”) agree to the following:

1. Eligibility & Licensing
Member must hold an active, valid Public Adjuster license in every state where they perform services.
Member must remain in good standing with all state Departments of Insurance—no suspensions, revocations, or pending disciplinary actions.
Any change to licensing status must be reported to Valor Claims Solutions within 3 business days.
Member must provide proof of licensing upon request at any time.

2. Insurance Requirements
Member must maintain active Errors & Omissions (E&O) insurance with minimum limits of $500,000 per occurrence / $1,000,000 aggregate.
Coverage must apply in all states where the Member operates.
Proof of coverage must be provided at onboarding, at renewal, and upon request.
Failure to maintain coverage results in immediate removal from the Network.

3. Documentation & Verification
Member must submit complete, accurate, and verifiable documentation during onboarding, including:
Public Adjuster license(s)
Government-issued photo ID
E&O declarations page
Business entity license (if applicable)
Incomplete, falsified, expired, or unverifiable documentation will result in denial or removal from the Network.

4. Professional Conduct
Member must comply with all applicable laws, administrative rules, and FEMA/NFIP regulations.
Member must act with integrity, honesty, and professionalism in all dealings.
Misrepresentation, unethical conduct, or unprofessional behavior will result in immediate removal.
Member must not solicit Valor Claims Solutions clients for unrelated services without written approval.

5. Confidentiality
All leads, assignments, client data, and proprietary information provided through the Network are confidential and remain the property of Valor Claims Solutions.
Unauthorized disclosure of such information will result in termination and possible legal action.

6. Client Handling
Member must respond to Valor Claims Solutions inquiries within 48 hours.
All assigned clients must be handled in a timely, professional manner.
Updates on claim progress must be provided when requested.

7. Non-Compete & Non-Solicitation
Member shall not, directly or indirectly, solicit, contract with, or perform services for any client, prospect, or referral of Valor Claims Solutions that was obtained through the Preferred Network relationship without prior written consent.
This restriction applies during participation in the Network and for 12 months following removal, resignation, or termination.
This clause does not restrict Member from conducting business with clients they acquired independently, prior to any introduction through the Preferred Network.
Any breach of this provision will result in immediate removal from the Network and may lead to legal action to recover damages, lost profits, and associated costs.

8. Termination
Valor Claims Solutions may remove a Member from the Network at any time, without prior notice, for:
Breach of these Terms & Conditions
Loss or lapse of required licensing or insurance
Unprofessional or unethical conduct
Misrepresentation or fraud
Termination does not relieve the Member of any obligations incurred prior to removal.

9. Dispute Resolution
Any disputes arising from participation in the Network will be governed by the laws of the State of Indiana.
Venue for any legal proceedings will be Johnson County, Indiana.

10. Agreement
By joining or continuing participation in the Valor Claims Solutions Preferred Network, Member acknowledges that they have read, understood, and agree to these Terms & Conditions. Valor Claims Solutions reserves the right to update or modify these Terms at any time, and continued participation constitutes acceptance of any changes.
